These Terms of Service (the “Terms”) govern your access to and use of Solvene Labs (the “Site”) and any products purchased through the Site. By using the Site or placing an order, you agree to these Terms.

1. Eligibility

You must be at least 21 years of age and a researcher acting in a bona fide research capacity to use this Site. By using the Site you represent that you meet these requirements and that all information you provide is true and accurate.

2. Research Use Only

All products on this Site are reference compounds for in vitro laboratory and research use only. They are not drugs, supplements, foods, cosmetics, or veterinary products and are not intended for administration to humans or animals. Your use of any product is subject to our Research Use Policy, which is incorporated into these Terms by reference.

3. Orders, pricing, and payment

All prices are listed in U.S. Dollars and are subject to change without notice. We may refuse, cancel, or limit any order at our sole discretion, including for suspected fraud, pricing errors, or non-compliance with these Terms. Charges are authorized at checkout through our third-party payment processor. We do not store full payment card numbers on our servers.

4. Shipping and risk of loss

Shipping is governed by our Shipping Policy. Title and risk of loss for purchased products pass to you upon delivery to the carrier.

5. Returns and refunds

Returns, refunds, and exchanges are governed by our Refund & Return Policy.

6. No medical or therapeutic representations

Nothing on this Site is medical advice. Solvene Labs makes no representation that any product is safe or effective for any human or veterinary use. You agree not to rely on any information from this Site as a basis for medical, therapeutic, dosing, or cycling decisions, and you agree not to attribute any such use to Solvene Labs.

7. Prohibited uses

You agree that you will not:

  • Use, administer, ingest, inhale, inject, or apply any product to yourself, any other human, or any animal.
  • Resell, redistribute, or transfer products for human or veterinary use.
  • Misrepresent your age, identity, research purpose, or shipping destination.
  • Use the Site to violate any law or to infringe the rights of any third party.
  • Attempt to interfere with the operation, security, or accessibility of the Site.

8. Intellectual property

All content on the Site — including text, graphics, logos, product photography, and the Solvene Labs name and marks — is the property of Solvene Labs or its licensors and is protected by applicable intellectual-property laws. You may not reproduce, distribute, or create derivative works without prior written permission.

9. Disclaimer of warranties

The Site and all products are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Solvene Labs disclaims all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.

10. Limitation of liability

To the maximum extent permitted by law, in no event shall Solvene Labs, its officers, employees, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, or goodwill arising out of or related to your use of the Site or any product, even if advised of the possibility of such damages. Our aggregate liability for any claim arising under these Terms will not exceed the amount you paid for the product giving rise to the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Solvene Labs and its affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to (a) your violation of these Terms, (b) your use or misuse of any product, including any administration to humans or animals contrary to the Research Use Policy, or (c) your violation of any applicable law or the rights of any third party.

12. Governing law and venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Site will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

13. Force majeure

We are not liable for any failure or delay in performance caused by events outside our reasonable control, including acts of God, natural disasters, labor disputes, supply-chain interruptions, carrier delays, network outages, governmental action, or pandemics.

14. Severability and entire agreement

If any provision of these Terms is held to be unenforceable, the remaining provisions remain in full force and effect. These Terms, together with the policies referenced above, constitute the entire agreement between you and Solvene Labs regarding the Site.

15. Changes to these Terms

We may update these Terms at any time. The “Last updated” date below reflects the most recent revision. Continued use of the Site after a revision constitutes acceptance of the updated Terms.
